- "Service" — refers to the consulting services offered by abeerdeenl, including Business Model Innovation Workshops, Regulatory Compliance Roadmaps, and Facilities Management Strategy engagements.
- "User", "you", "your" — refers to any individual or organisation accessing our website or entering into an engagement with us.
- "Agreement" — refers to these Terms and Conditions together with any specific engagement terms agreed in writing.
- "Deliverable" — refers to any written report, document, or output produced by abeerdeenl in the course of an engagement.
- "Website" — refers to the website operated at abeerdeenl.info.
2. Acceptance of Terms
By accessing our Website or engaging our Services, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms and Conditions in full.
If you are accessing the Website or engaging Services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
3. Service Description
abeerdeenl provides professional consulting services to organisations operating in or from Hong Kong. Our three service lines are described in detail on our website and in individual engagement proposals.
The availability of specific services may be subject to capacity constraints. We reserve the right to decline any enquiry or engagement without obligation to provide reasons.
Services are provided to clients based in Hong Kong. Engagements for organisations based elsewhere may be accommodated on a case-by-case basis, subject to agreement on applicable terms.
4. User Responsibilities
4.1 Acceptable Use
You agree to use our Website and Services lawfully and in good faith. You must not use our Website to transmit any material that is unlawful, harmful, or fraudulent.
4.2 Accuracy of Information
You are responsible for the accuracy of information provided to us in connection with any enquiry or engagement. We rely on information you supply to deliver our services, and the quality of our output depends on the quality and completeness of that information.

5. Intellectual Property
5.1 Our Materials

5.2 Deliverables
Upon full payment of agreed fees, the client receives a non-exclusive licence to use deliverables produced for their engagement internally within their organisation. abeerdeenl retains underlying intellectual property rights in methodologies, frameworks, and approaches used.
5.3 Restrictions
Deliverables may not be provided to third parties or used for commercial purposes beyond the client's own organisation without prior written agreement.
6. Payment Terms
All fees are quoted and payable in Hong Kong Dollars (HKD). Pricing for each engagement is agreed in a written proposal before work commences.
Payment terms are set out in each engagement proposal, typically requiring a deposit before work begins and the balance on delivery of the final Deliverable. We reserve the right to pause work if agreed payment milestones are not met.
There is no refund for engagements that are partially completed unless otherwise agreed in writing. Where an engagement is terminated by abeerdeenl without cause, a proportionate refund of fees paid for undelivered work will be made.
7. Service-Specific Terms
7.1 Business Model Innovation Workshop
Workshop sessions require the participation of agreed stakeholders. Where key participants are unavailable for scheduled sessions, rescheduling may incur additional fees. The client is responsible for ensuring appropriate internal access and information sharing to support the engagement.
7.2 Regulatory Compliance Roadmap
Regulatory information is provided based on our understanding of the regulatory landscape at the time of the engagement. We do not provide legal advice. Clients should obtain independent legal advice before acting on any regulatory recommendation. abeerdeenl does not accept liability for changes in regulations occurring after the delivery date.
7.3 Facilities Management Strategy
Benchmarking analysis is based on comparable information available to us at the time of the engagement. Client-specific outcomes from implementing recommendations will depend on factors outside our control and may differ from benchmarks.
8. Disclaimers
Our services are provided on a professional basis and represent our considered judgement based on the information available. We do not warrant that any particular business outcome will result from implementing our recommendations.
Consulting advice does not constitute legal, financial, accounting, or regulatory advice. You should seek independent professional advice in those areas before making decisions that depend on such expertise.
This Website is provided "as is". We do not warrant that it will be uninterrupted, error-free, or free from viruses or other harmful components.
9. Limitation of Liability
To the fullest extent permitted by Hong Kong law, abeerdeenl's total liability to you arising from any engagement shall not exceed the total fees paid by you for that engagement.
We exclude liability for indirect, consequential, or incidental losses, including loss of profit, revenue, business, or reputation, whether or not we were advised of the possibility of such loss.
Nothing in these terms limits our liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.
10. Confidentiality
Each party agrees to keep confidential any non-public information received from the other in connection with an engagement. This obligation survives termination of the engagement for a period of three years.
We will sign a non-disclosure agreement (NDA) at the start of any engagement where requested. Where no separate NDA is signed, this clause constitutes the confidentiality agreement between the parties.
11. Termination
Either party may terminate an engagement by giving written notice. If terminated by the client before completion, fees for work completed and reasonable costs incurred to that point will be payable. If terminated by abeerdeenl without cause, fees for undelivered work will be refunded on a proportionate basis.
Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of any engagement.
12. Dispute Resolution
These Terms are governed by the laws of Hong Kong SAR. Both parties agree to attempt informal resolution of any dispute before initiating formal proceedings. If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
Where both parties agree, disputes may be referred to mediation administered by the Hong Kong Mediation Centre before proceedings are commenced.
13. General Provisions
These Terms, together with any written engagement proposal, constitute the entire agreement between the parties relating to the subject matter and supersede all prior representations and agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. A party's failure to enforce any provision does not constitute a waiver of that provision. Neither party may assign its rights under an engagement without the prior written consent of the other.
14. Changes to Terms
We may update these Terms from time to time. The effective date of the most recent version is noted at the top of this document. Continued use of our Website following an update constitutes acceptance of the revised Terms. For ongoing engagements, changes to Terms will not apply retroactively without your agreement.
